IRAAYA WORLD / SHE-NOVA
These Terms and Conditions govern the access and use of the website, mobile application, digital platform, events, meetings, membership services and related offerings of IRAAYA WORLD / SHE-NOVA, operated by SHENOVA ENTERPRISE NETWORK PRIVATE LIMITED, having CIN U82990MH2026PTC471283 and registered office at 704/B, Simplex Khushangan, 82 Vijaykar Wadi, S.V. Road, Malad West, Mumbai – 400064.
By accessing or using the platform, registering as a member, attending any meeting/event, or submitting any information, you agree to be bound by these Terms.
1. About IRAAYA World
IRAAYA World is a networking, learning, growth and community platform intended to facilitate professional connections, business visibility, referrals, events, learning sessions and member engagement.
IRAAYA World is not an income-guarantee, referral-guarantee, business-assurance, employment, franchise or investment-return platform.
2. Eligibility
Users must be major, of sound mind, legally competent to contract, and engaged as an entrepreneur, professional, business owner or authorised representative of an enterprise, and shall provide true, complete and updated information while registering or interacting with IRAAYA World. IRAAYA World reserves the right to accept, reject, suspend or terminate any registration, membership or access at its sole discretion.
3. Membership and Fees
Membership fees, event fees, renewal fees or any other charges shall be as communicated by IRAAYA World from time to time. All fees shall be payable with applicable taxes. Payment once made shall be non-refundable unless specifically approved by IRAAYA World in writing.
Membership is personal to the approved member and cannot be transferred, assigned or shared without written approval of IRAAYA World.
4. User Conduct
Users shall maintain dignity, professionalism and respectful conduct while using the platform or participating in any IRAAYA World activity. Users shall not misuse the platform, make false claims, harass members, share offensive content, collect money unauthorisedly, misuse member data, or act in any manner prejudicial to IRAAYA World’s goodwill.
5. Referrals and Business Interactions
Any referral, business opportunity, collaboration or transaction between members shall be strictly between the concerned parties. IRAAYA World only facilitates networking and shall not be responsible for quality of services, payment defaults, disputes, losses, misconduct, representations or dealings between members or third parties.
6. No Guarantee
IRAAYA World does not guarantee business, income, referrals, visibility, leads, conversion, profit, success, employment, investment return or any specific commercial outcome to any user or member.
7. Platform Access
IRAAYA World may provide access through website, mobile application, WhatsApp groups, emails, events, digital tools or any other mode decided by IRAAYA World. IRAAYA World may modify, suspend, upgrade or discontinue any feature, service, meeting structure or platform access at any time.
8. Intellectual Property
All names, logos, designs, content, formats, templates, presentations, training material, systems, databases, videos, images and brand material relating to IRAAYA World / She-Nova shall belong exclusively to IRAAYA World. Users may not copy, reproduce, circulate, commercially exploit or misuse the same without prior written permission.
9. Confidentiality and Data Use
Users shall keep confidential all non-public information, member details, business information, internal communications, meeting formats, training material and data received through IRAAYA World. Users shall not use IRAAYA World’s data, goodwill or member relationships for competing, unauthorised or personal commercial activity.
10. Third-Party Links and Services
The platform may contain links, payment gateways, app stores, service providers or third-party tools. IRAAYA World shall not be responsible for the availability, security, content, acts, omissions or policies of such third parties.
11. Limitation of Liability
IRAAYA World shall not be liable for any indirect, incidental, consequential, business, reputational, financial or data-related loss arising from use of the platform, member interactions, third-party services, technical issues, downtime, event changes or user conduct.
12. Indemnity
Users agree to indemnify and hold harmless IRAAYA World, its founders, directors, employees, representatives, affiliates, consultants and associates from all claims, losses, damages, liabilities, costs and expenses arising from breach of these Terms, misuse of the platform, violation of law, unauthorised representation, misconduct, or infringement of third-party rights.
13. Suspension and Termination
IRAAYA World may suspend or terminate any user’s access, membership or participation immediately in case of breach, misconduct, misuse of brand/data, non-payment, false representation, conflict of interest, unauthorised activity or any act prejudicial to IRAAYA World.
On termination, the user shall stop using IRAAYA World’s name, brand material, data, groups and platform access, and shall not claim any compensation except amounts expressly approved by IRAAYA World in writing.
14. Changes to Terms
IRAAYA World may amend these Terms from time to time by updating the website/app or issuing notice through any reasonable mode. Continued use of the platform shall constitute acceptance of the revised Terms.
15. Governing Law and Jurisdiction
These Terms shall be governed by the laws of India. Subject to arbitration, the courts at Mumbai shall have jurisdiction.
Any dispute shall first be attempted to be resolved amicably, failing which it may be referred to arbitration by a sole arbitrator appointed by IRAAYA World. The seat and venue of arbitration shall be Mumbai and the proceedings shall be in English.
